    3. Client Responsibilities

    As a client, you agree to:

    • Grant necessary access to websites, analytics, and other platforms as required
    • Respond to communications in a timely manner
    • Make payments according to agreed-upon terms
    • Review and approve content and strategies when requested
    • Comply with all applicable laws and regulations

    4. Payment Terms

    Fees and Billing

    Service fees will be outlined in a separate proposal or agreement. Payment terms are as follows:

    • Monthly retainer fees are due at the beginning of each service month
    • Project-based fees may require upfront deposits
    • Late payments may incur additional fees
    • All fees are non-refundable unless otherwise specified

    6. Intellectual Property

    Unless otherwise agreed in writing:

    • Content created for clients becomes their property upon full payment

    • Clients retain ownership of their existing intellectual property
    • We may use anonymized case studies for marketing purposes

    7. Confidentiality

    Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes but is not limited to business strategies, financial information, customer data, and technical information.

    8. Term and Termination

    Service terms and termination conditions:

    • Service term will be specified in the service agreement
    • Either party may terminate with 30 days written notice
    • Client is responsible for payment of services rendered up to termination date
    • We reserve the right to terminate for non-payment or Terms violation

    9. Limitation of Liability

    To the maximum extent permitted by law:

    • We shall not be liable for any indirect, incidental, or consequential damages
    • Our total liability shall not exceed the fees paid in the 12 months preceding the claim
    • We are not liable for third-party actions, including search engine algorithm changes
    • We are not responsible for client website issues outside our scope of work

    10. Indemnification

    You agree to indemnify and hold harmless SEO Agency UAE and its team from any claims, damages, or expenses arising from your breach of these Terms or your use of our services.

    11. Dispute Resolution

    Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to the jurisdiction of the courts in Dubai, UAE.

    12. Modifications to Terms

    We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

    13. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
